Brussels sidesteps calls to block unwanted foreign takeovers

Brussels is sidestepping calls from the EU’s largest member states for new powers to block unwanted foreign takeovers, a demand aimed at curbing Chinese state-backed investment in some of Europe’s most prized technology companies.
Germany, France and Italy have called on the European Commission to look at whether the bloc should be allowed to intervene in state-backed takeovers of companies in strategic sectors. The measures, also supported by some MEPs, would be akin to powers in the US, where the Committee on Foreign Investment considers the national interest and security implications of overseas investment in US companies. (Committee on Foreign Investment in the US, 简称CFIUS),这个跨部门机构负责考虑外资投资美国企业所带来的国家利益和国家安全影响。
Berlin, supported by Paris and Rome, has grown concerned by the rise in Chinese investment in key sectors of the German economy. Worries peaked when Chinese appliance maker Midea offered €4.5bn for German robot-maker Kuka. Despite hand-wringing in Berlin and complaints from Chancellor Angela Merkel about hurdles faced by German companies wanting to invest in China, the deal closed in January.
Jyrki Katainen, the commission vice-president who oversees EU trade policy, said that while Brussels wanted to ensure that member states were not “by accident influenced by aggressive acquisitions”, the bloc wanted
to be open to foreign investment.
“It’s quite difficult to imagine that the commission would say to the owners of a company or the entrepreneur that you are not allowed to sell your company because you are too good,” Mr Katainen told the Financial Times.
A paper published on Wednesday on how the EU should deal with globalisation recommended more discussion but no firm action.
Officials in Brussels, wanting to support free trade and attract investment, are concerned about creating a tit-for-tat situation where countries might prevent acquisitions by state-controlled European companies.
Mr Katainen said it would be better for the EU to continue to seek full investment reciprocity. “If EU companies have the same rights as other countries’ companies to buy companies, then you don’t need to be worried,” he said.
He said some member states already had powers to “pull the emergency brake” in cases where deals posed national security concerns.
Beijing has a number of rules that limit how foreign companies can invest in Chinese companies, such as requirements to form a joint venture with a local partner. Europe and China are discussing an enhanced investment agreement but a quick breakthrough is not expected.
An EU mechanism to scrutinise and monitor foreign investment “would be an interesting tool for the commission to have in its toolbox, but I really wonder how often they would use it”, said Sebastian Vos, a partner at Covington, a law firm. “Having it may be helpful leverage in discussions with China or others, but one could see it having a lot potential downsides.”
Last year China spent more than $200bn on acquisitions around the globe, over half of which was in Europe, according to Dealogic.
